Terms of Service

These terms govern all B2B cooperation, OEM/ODM production, and custom manufacturing projects between Yushineon and our global partners.

Section 01

Cooperation Scope

1.1 Applicable Parties

These Terms of Service ("Terms") apply to all business cooperation between Shenzhen Yushineon Technology Co., Ltd. ("Yushineon," "we," or "us") and any overseas brand owner, distributor, wholesaler, or purchasing agent ("Client" or "you") who engages our manufacturing, OEM, ODM, or mold customization services.

1.2 Custom Silicone Product Categories

Our cooperation scope covers mainly premium silicone-based products across the following core categories:

Beauty Tools

Facial massagers, cleansing brushes, applicators & cosmetic accessories

Sports & Outdoors

Resistance bands, yoga accessories, and customized sports gear

Pet Supplies

Grooming tools, silicone cleaning supplies & interactive pet toys

1.3 Service Modes

OEM

Original Equipment Manufacturing

Manufacture products to client's specifications, drawings, and brand requirements using our existing tooling and processes.

ODM

Original Design Manufacturing

Full product development from concept to delivery -- including design, engineering, prototyping, and mass production.

CM

Custom Mold Manufacturing

Design and fabricate dedicated molds for silicone or plastic products using injection molding, compression molding, LSR, or two-shot molding processes.

Section 02

B2B Order Rules & MOQ

Minimum Order Quantity (MOQ)

Our standard MOQ for mass production typically ranges from 500 to 2,000 units per color/style, depending on product volume and specific manufacturing processes.

Sample Order Evaluation

Prototype and trial orders are supported for quality verification before formal contract signing. Trial batch sizes are evaluated on a case-by-case basis.

2.2 Payment Terms

Deposit -- 30% upon order confirmation

A 30% deposit is required to confirm the production order and secure your production slot. Production will not commence until the deposit is received.

Balance -- 70% before shipment

The remaining balance is due upon completion of production and passing of final QC inspection, prior to cargo release and shipment arrangement.

Accepted Payment Methods

T/T (Bank Wire Transfer). All transactions are in USD unless otherwise agreed in writing.

* Lead times are estimates from deposit receipt and may vary based on order complexity, material procurement, and production scheduling. Rush orders are available upon request and may incur additional charges.

Section 03

OEM/ODM Tooling & Customization

3.1 Sampling & Prototype Fees

Standard Sample

USD 50 - 150

Based on an existing product with logo/color modification. Fee is fully refundable upon confirmed mass production order of ≥ MOQ.

Custom ODM Sample

USD 200 - 800+

New design or structural modification. Cost varies by complexity. Partially refundable (50%) upon mass production order confirmation.

Sample fees must be paid in full before sample production commences. Samples will be shipped via courier (DHL/FedEx) at client's expense.

Up to 2 rounds of revisions are included. Additional revision rounds will be quoted separately.

Client must provide written approval (email confirmation) of the final sample before mass production is scheduled.

Exclusive Client-Owned Molds

When the client pays full mold tooling fees, the mold is the exclusive intellectual property of the client. Yushineon will store the mold at no charge for up to 3 years, provided at least one production order is placed annually. The mold may be transferred to the client or a third-party factory upon written request, subject to a handling and shipping fee.

Yushineon Standard Tooling

For molds developed as part of our standard ODM catalog, Yushineon retains ownership. Clients using these molds may not transfer, reproduce, or have the design manufactured by any other party without prior written consent from Yushineon.

Strict Mold Confidentiality (NDA)

All client-specific mold designs, technical drawings, and product specifications are protected under strict NDA rules. Yushineon will never share, copy, or manufacture these custom designs for any third party without explicit written authorization.

Third-Party Inspection: Clients may arrange third-party QC inspections (e.g., SGS, Bureau Veritas, Intertek) at their own expense. Yushineon will cooperate fully and provide factory access during normal business hours with 48-hour advance notice.

How to File a Quality Claim:

Submit a written claim to your Yushineon account manager within 30 days of receiving the goods.

Provide clear photographic or video evidence of the defective products, including batch/lot numbers and packaging labels.

Yushineon will review the claim within 5 business days and propose a resolution: replacement, credit, or refund.

Warranty Exclusions

  • × Damage caused by misuse, improper storage, or accidents after delivery
  • × Normal wear and tear under regular use conditions
  • × Defects resulting from client-supplied materials, designs, or specifications
  • × Claims filed more than 30 days after receipt of goods

Section 05

Liability & Dispute Resolution

5.1 Breach of Contract

Client Obligations

  • Failure to pay the deposit within 7 business days of order confirmation will result in automatic order cancellation.
  • Cancellation after production commencement will result in forfeiture of the deposit and any material costs incurred.
  • Failure to pay the balance within 30 days of notification of completion will incur a 1.5% monthly late payment fee.

Yushineon Obligations

  • Delivery delays exceeding 15 business days beyond the agreed date (not caused by client or force majeure) entitle the client to a penalty of 0.5% of the order value per week of delay.
  • Total liability for any single order shall not exceed the total order value paid by the client.
  • We are not liable for consequential, indirect, or incidental damages arising from product use.

5.2 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to: natural disasters, pandemics, government actions, port strikes, war, or significant supply chain disruptions. The affected party must notify the other in writing within 5 business days of the force majeure event. Both parties shall work in good faith to mitigate impact and reschedule obligations.

5.3 Dispute Resolution Process

Step 1 -- Good Faith Negotiation

Both parties shall first attempt to resolve any dispute through direct communication and good faith negotiation within 30 days of the dispute arising.

Step 2 -- Mediation

If negotiation fails, either party may request mediation through a mutually agreed-upon neutral third-party mediator. Mediation costs are shared equally.

Step 3 -- Binding Arbitration

Unresolved disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), conducted in Shenzhen, China. The arbitration language shall be English. The arbitral award shall be final and binding on both parties.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to international transactions where applicable.
