Important Notice
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Partner," or "you") and Shenzhen Yushineon Technology Co., Ltd. ("Yushineon," "we," "us," or "our"). By placing an order, signing a contract, or engaging in any business transaction with us, you confirm that you have read, understood, and agreed to be bound by these Terms.
Acceptance of Terms
By accessing our website, submitting a request for quotation (RFQ), placing a purchase order, or entering into any form of business agreement with Yushineon, you acknowledge that you have read these Terms and agree to comply with them in full.
If you are acting on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not engage in any business with us.
We reserve the right to update or modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued business engagement after such changes constitutes acceptance of the new Terms.
Business Eligibility
Yushineon operates exclusively as a Business-to-Business (B2B) manufacturer and wholesaler. Our services are intended solely for registered businesses, including but not limited to:
- Brand owners and private label companies seeking OEM or ODM manufacturing partners
- Wholesale distributors and trading companies operating in the beauty, sportswear, or pet product industries
- Authorized retailers and purchasing agents procuring goods on behalf of registered businesses
- Product managers and procurement officers acting within their professional capacity
We do not sell directly to individual end consumers. Engaging with our services implies that you are a legitimate business entity capable of entering into legally binding commercial agreements.
OEM & ODM Services
Yushineon provides comprehensive Original Equipment Manufacturing (OEM) and Original Design Manufacturing (ODM) services across three primary product categories: beauty and cosmetic tools, sportswear and health accessories, and pet grooming and care products.

Our end-to-end service encompasses product concept development, industrial design, prototyping, material sourcing, mass production, quality inspection, custom packaging, and international logistics coordination. Specific service scopes, timelines, and deliverables will be detailed in individual project agreements or purchase orders.
For ODM projects, clients may request modifications to existing designs. For OEM projects, clients supply their own specifications and artwork. All custom designs must comply with applicable international safety and regulatory standards.
Orders & Minimum Quantities
All orders must be submitted in writing via our official quotation and purchase order process. A purchase order becomes binding upon receipt of written confirmation from Yushineon and any required deposit payment.
Minimum Order Quantities (MOQs) vary by product category, customization requirements, and production complexity. We accommodate small batch orders for new product launches and market testing, as well as high-volume production runs. Specific MOQs will be communicated during the quotation phase.
Once a purchase order has been confirmed and production has commenced, cancellations or modifications may result in charges to cover incurred material and production costs. Any such charges will be discussed and agreed upon in writing prior to implementation.
Yushineon reserves the right to decline any order that does not meet our production capabilities, violates applicable laws, or conflicts with our ethical manufacturing standards.
Pricing & Payment Terms
All prices are quoted in United States Dollars (USD) unless otherwise agreed in writing. Quoted prices are valid for the period specified in the quotation document and are subject to change based on fluctuations in raw material costs, currency exchange rates, or changes in order specifications.
Standard payment terms are as follows, unless otherwise negotiated and confirmed in a separate written agreement:
Deposit
30-50% deposit required upon order confirmation to initiate production
Balance
Remaining balance due prior to shipment release or upon delivery, as agreed
Accepted payment methods include Telegraphic Transfer (T/T), Letter of Credit (L/C), and other methods as mutually agreed. All bank charges and transfer fees are the responsibility of the Client. Late payments may result in order holds and may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Yushineon operates under an ISO 9001 certified quality management system. Our manufacturing facility and processes are designed to consistently deliver products that meet or exceed agreed specifications and applicable international standards.
Our products are manufactured in compliance with relevant international safety and regulatory standards, including but not limited to LFGB (Germany), FDA (USA), REACH (EU), and CE (European Conformity), as applicable to the specific product category and target market.
In the event that a Client identifies quality defects upon receipt of goods, the Client must notify Yushineon in writing within 14 calendar days of delivery, accompanied by photographic or video evidence and a detailed defect report. Yushineon will investigate and, where defects are confirmed to be attributable to our manufacturing, will offer remedies including replacement, rework, or credit, at our discretion.
Quality claims will not be accepted for defects arising from improper handling, storage, use beyond product specifications, or modifications made by the Client after delivery.
Shipping & Delivery
Yushineon ships internationally from our facility in Shenzhen, China. Shipping terms (Incoterms®) will be specified in each purchase order or sales contract. Common terms include EXW (Ex Works), FOB (Free on Board), and CIF (Cost, Insurance, and Freight), subject to mutual agreement.
Estimated production and delivery lead times will be provided during the quotation process and confirmed in the purchase order. Lead times are estimates based on current production capacity and may be subject to adjustment due to force majeure events, raw material availability, or other circumstances beyond our reasonable control.
The Client is responsible for all import duties, customs clearance procedures, local taxes, and compliance with the import regulations of the destination country. Yushineon will provide all necessary export documentation, including commercial invoices, packing lists, certificates of origin, and relevant test reports.
Risk of loss and damage to goods transfers to the Client in accordance with the agreed Incoterms. We strongly recommend that Clients arrange adequate cargo insurance for international shipments.
Intellectual Property
All intellectual property rights in designs, artwork, tooling, molds, and product specifications developed by Yushineon as part of an ODM engagement remain the property of Yushineon unless explicitly transferred to the Client under a separate written Intellectual Property Transfer Agreement with agreed compensation.
For OEM projects, the Client retains ownership of all intellectual property they supply to Yushineon, including trademarks, logos, designs, and specifications. The Client grants Yushineon a limited, non-exclusive license to use such materials solely for the purpose of fulfilling the agreed manufacturing order.
The Client warrants that any designs, trademarks, logos, or other materials provided to Yushineon do not infringe upon the intellectual property rights of any third party. The Client shall indemnify and hold Yushineon harmless from any claims, losses, or damages arising from such infringement.
Yushineon's company name, logo, website content, and proprietary manufacturing processes are protected intellectual property and may not be used, reproduced, or distributed without our prior written consent.
Confidentiality
Both parties acknowledge that in the course of their business relationship, each may have access to confidential and proprietary information belonging to the other party, including but not limited to product designs, pricing structures, business strategies, customer lists, and manufacturing processes.
Each party agrees to: (i) maintain the confidentiality of the other party's confidential information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (ii) not disclose such information to any third party without the prior written consent of the disclosing party; and (iii) use such information solely for the purpose of fulfilling obligations under the business agreement.
These confidentiality obligations shall survive the termination of the business relationship for a period of three (3) years, unless a separate Non-Disclosure Agreement (NDA) specifies a different term. Where a signed NDA exists between the parties, the terms of that NDA shall prevail.
Limitation of Liability
To the fullest extent permitted by applicable law, Yushineon's total liability to the Client for any claims arising from or related to a specific order shall not exceed the total purchase price paid by the Client for that specific order.
In no event shall Yushineon be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunity, loss of goodwill, or loss of data, even if Yushineon has been advised of the possibility of such damages.
Yushineon shall not be liable for any failure or delay in performance of its obligations resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, labor disputes, supply chain disruptions, or transportation failures (Force Majeure). In such events, Yushineon will promptly notify the Client and both parties will work in good faith to find an equitable solution.
Governing Law & Disputes
These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any business agreement between the parties, both parties agree to first attempt to resolve the matter through good faith negotiation within thirty (30) days of written notice of the dispute.
If the dispute cannot be resolved through negotiation, it shall be submitted to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen, in accordance with its arbitration rules then in effect. The arbitration shall be conducted in English, and the arbitral award shall be final and binding upon both parties.
